These terms and conditions of sale (hereinafter referred to as "T&Cs") apply to all transactions relating to the sale of new and used spare parts and used large format printing equipment (hereinafter referred to as "Products"), carried out by DG Système (hereinafter referred to as "the Company") to professional clients (non-consumers) (hereinafter referred to as "the Client").

DG Système is a major player in the large format printer refurbishment sector and the sale of used spare parts. Our company is actively committed to recycling and reuse by giving a second life to equipment and spare parts, thus contributing to the reduction of our environmental footprint.

By choosing to purchase a Product from DG Système, the Client expressly and unreservedly accepts these Terms and Conditions of Sale, and confirms that they are acting as a professional, placing orders within the framework of their commercial activity.

It is recalled that the provisions of the Consumer Code do not apply to purchases made by the Client (except for professionals meeting the criteria of article L121-16-1), the latter being governed exclusively by these T&Cs as well as by the mandatory provisions of the Commercial Code and Civil Code relating to sales.

Validating an order on our website implies formal and unreserved acceptance of the T&Cs and our Personal Data Protection Policy, which the Client acknowledges having consulted and accepted by checking the box provided for this purpose when creating their account and when confirming their order.

These Terms and Conditions of Sale completely replace all previous versions of the Terms and Conditions of Sale, thus making all previous versions null and void.

2. Product Information

Products are described on our website in a way that provides the buyer with all essential information, including main characteristics and prices.

DG Système takes all necessary measures to ensure the accuracy and reliability of the information presented on its Website. Despite daily monitoring and updating, DG Système disclaims any responsibility for any technical inaccuracies, typographical errors or omissions in the Website content, as well as for the results that could be obtained by using this information.

The Client acknowledges that the photographs, information and visuals of products presented on the Website are not contractual. Consequently, DG Système's responsibility cannot be engaged for any incident related to the image of the Product concerned.

The trademarks mentioned on the Website are the property of their respective holders. Product specifications may be modified according to technological developments or offers from our suppliers.



3. Order and Validation

Products for sale on the Website are intended exclusively for persons with full legal capacity to make online purchases.

3.1 Customer Account Creation

Before placing any order, the Client must create an account on the Website. The "Registration / Login" section is easily accessible from the main page.

The information required to create an account is: a valid email address, a password, first name, last name, company name, phone number, billing address and VAT number.

On each subsequent visit, if the Client wishes to place an order or access their "Registration / Login" area, they must first identify themselves using the strictly personal and confidential information they have chosen.

The Client is responsible for the confidentiality of their login and password. In case of loss, forgetting or misuse of their credentials by a third party, the Client must immediately inform DG Système by contacting Customer Service.

DG Système informs the Client that creating a personal account on one of its websites is valid for all DG Système websites. The Client's login and password therefore remain unchanged for any connection to these sites. If the Client requests the deletion of their personal data linked to their customer account, this deletion will be automatically carried out on all DG Système websites.

Providing the personal information collected in the context of distance selling is mandatory, as this information is necessary for order processing, shipping and billing. Failure to provide this information results in the order being null and void.

3.2 Purchase

To make a purchase, the Client must place an order directly on the Website.

The purchase process begins with the Client selecting the Product(s) that meet their needs, which they then add to their shopping cart.

To ensure effective delivery of the Product, the Client is required to provide all necessary information, such as their name, first name, delivery address and, if applicable, a different billing address, as well as a phone number.

If the Client already has an account on the Website and wishes to validate their order, they will be automatically redirected to an identification page where they must identify themselves using their personal data. On the other hand, if the Client is new to the Website, they must follow the account creation steps from the "Registration/Login" section.

Once the Client has validated their cart, a summary of their order is displayed, including the following information: Product(s), quantity(ies), unit price, any discounts, delivery method and costs, as well as the total amount of the order.

The client can go back to their order, complete it, modify it or cancel it as long as it has not been validated. Once the Client has clicked on the "Order with payment obligation" button, the order is considered confirmed.

Order confirmation is subject to the Client's knowledge and express and unreserved acceptance, via a checkbox, of these Terms and Conditions and the Personal Data Protection Policy, and entails a payment obligation.

At the end of these steps, namely the validation of the shopping cart, the choice of delivery and payment method, DG Système sends the Client an order confirmation email within twenty-four (24) hours of order registration. If the Client does not receive this email within the specified time, DG Système invites them to contact Customer Service.

It is recalled that full payment of the order is received by DG Système upon order confirmation. This confirmation is notified to the Client by email and via the "Payment accepted" status in the "My orders" section of the Client's "My account" area.

The sale will only be concluded from the confirmation of the order. DG Système reserves the right to cancel any order from a client with whom there would be a dispute relating to payment of a previous order.

Orders placed by the client on the website are final and cannot be cancelled, except with prior agreement from DG Système. The client thus acknowledges being bound by their purchase as soon as they make the online payment, except with express acceptance of order cancellation by DG Système.

In case of an incident related to the Client's order, such as a payment problem, a supply problem, unavailability of Products or any other anomaly, DG Système undertakes to inform the Client via the information communicated during the last update of the Client's account.

3.2 Order Processing Times

Orders placed after 12:00 PM will be processed and shipped the following business day. Orders placed before 12:00 PM will be processed the same day. However, exceptions may occur in case of demand peaks, supply problems or other unforeseen circumstances. In this case, DG Système will inform the client of the additional time needed to process and ship the order.

4. Prices and Payment Conditions

All prices are indicated in euros, excluding VAT, and exclude other costs such as shipping and handling fees, which remain the responsibility of the client.

The client is required to provide a valid and correct VAT number and releases the company from any responsibility, cost, problem or procedure resulting from the indication of an incorrect or inappropriate VAT number.

Prices are established based on economic conditions, applicable taxes or duties at the time of order, as well as rates from the Company's suppliers and subcontractors.

DG Système reserves the right to modify its prices at any time but Products will be invoiced based on the rates in effect at the time of order registration, subject to availability.

The company may defer shipment of goods until full payment of the order.

DG Système offers the client three secure payment methods:

- By bank card: immediate or deferred payment (CB, VISA, MASTERCARD, MAESTRO);

- By PayPal;

- By bank transfer.

Banking fees related to an order are not included in the price and are the responsibility of the Client.

For shipments outside mainland France, the taxes, duties and shipping costs mentioned in the description may be subject to other taxes and import duties upon arrival of the package at destination. The client is responsible for paying all taxes and import duties. Before placing an order, it is advisable to contact local customs authorities to obtain information and estimate the actual costs at destination. DG Système disclaims any legal responsibility if the client does not pay these taxes.

5. Delivery

Certain Products or transport methods may benefit from a reduction or free delivery charges.

5.1 Delivery Conditions:

In case of shipping delay of more than 48 hours for the ordered Products, the Client will have the possibility to cancel the order or accept a new delivery date, without being able to claim a price reduction or damages.

For availability reasons, an order may be delivered to the Client in several installments, without additional costs. If the client wishes to be delivered to two different addresses, they must place two separate orders, with the corresponding delivery costs.

The delivery time after shipping depends on the chosen transport method. Delivery in France will be carried out by La Poste, DPD or Chronopost. For deliveries outside France, carriers may be La Poste, Chronopost, UPS, DHL, FEDEX, TNT or GLS. DG Système chooses the carrier offering the best price/time ratio. Deliveries are subject to availability. Unless otherwise indicated in writing, delivery times provided by the company are indicative. Any delivery delay cannot be invoked as a reason for purchase cancellation, merchandise refusal or compensation claim. Any delay in a staggered delivery does not affect other deliveries.

In case of non-receipt of goods by the Client after formal notice, the Company reserves the right, without prejudice to any claim for damages, to execute the contract or to consider it terminated by operation of law, with forfeiture of any transport costs (delivery and return).

5.2 Delivery Anomalies:

DG Système monitors the delivery times of packages entrusted to carriers. However, if the Client notices a delivery anomaly (delay, change of pickup point, loss of tracking, etc.), they are invited to contact the Company to find a solution as soon as possible.

5.3 Client Absence:

The Client must provide all information necessary for proper delivery: name, first name, delivery or pickup address, and billing address if different, as well as a phone number.

In case of Client absence during delivery, a notice will be left by the carrier. The Client can make arrangements to collect the Products within the time indicated by the carrier. After this deadline, the Products will be automatically returned to DG Système.

In case of difficulties, the Client must inform DG Système within the allotted time.

5.4 Delays:

DG Système strives to respect Product delivery times according to the delivery method chosen by the Client. Delivery times should not exceed thirty (30) days from order validation, except in case of force majeure. In case of significant delay, the Client is invited to contact the Company to find a quick solution.

5.5 Package Inspection - Damage:

Depending on the chosen carrier, the package is delivered at a pickup point against signature, at home in person (with or without signature) or directly in the Client's mailbox.

Regardless of the delivery method, the Client must check the condition of the packaging and the contents of the package upon delivery. In case of problems, the Client must issue written reservations to the carrier and keep a copy. Any package refusal must be made within 3 business days following receipt of the Products.

If the Client does not report a problem within the allotted time, they are deemed to have accepted the Products without incident, damage or anomaly. Consequently, no claim for defects such as damage, missing product, damaged package or broken part upon receipt will be accepted by DG Système.

However, the client retains the benefit of legal warranties of conformity and hidden defects.

5.6 Export/Import Control:

The Client undertakes to comply with all export/import control laws. The Client undertakes not to export/import goods to/from a country in violation of an export/import control law without having previously obtained all necessary licenses or authorizations.

6. Right of Withdrawal and Product Returns

As previously indicated, by choosing to purchase a Product from DG Système, the Client confirms that they are acting as a professional, placing orders within the framework of their commercial activity.

In accordance with article L121-16-1 of the Consumer Code, the right of withdrawal only applies to eligible professionals falling within the specified legal framework. The Client may exercise their right of withdrawal within 14 days of receipt of the Products, under the conditions and according to the procedures provided by law.

To exercise their right of withdrawal, the Client must notify DG Système in writing of their decision to withdraw before the expiration of the aforementioned withdrawal period. Any return of a Product under the right of withdrawal must be carried out in accordance with the instructions provided by DG Système and the specific conditions provided for in these T&Cs.

For Clients not covered by the legal framework of the French Consumer Code, DG Système will assess return authorization on a case-by-case basis. The Client is invited to consult the applicable legal provisions and to contact DG Système for any questions relating to their eligibility for the right of withdrawal and the modalities for exercising this right.

6.1 Return Procedure:

The Product(s) must be returned in their original and complete condition (including packaging, accessories, user manual, etc.), packaged in the same way as during shipment, within 14 (fourteen) days from the date of withdrawal or return authorization. It is the client's responsibility to provide proof that they have returned the product(s) within the allotted time.

Upon receipt of the product(s), we will examine them to verify that they are in the same condition as when the client received them. No refund will be made if the product(s) has (have) been used or damaged.

6.2 Client Refund in Case of Exercise of Right of Withdrawal:

Subject to the Client's compliance with the above conditions, DG Système undertakes to refund the Client the price of the purchased Product(s), as well as delivery costs, at the latest within fourteen (14) days following receipt of the Client's withdrawal request. However, DG Système is not required to refund additional costs if the Client has expressly chosen a delivery method other than the standard less expensive delivery method offered by DG Système on the Website. Return costs are the responsibility of the Client.

DG Système reserves the right to defer the refund until recovery of the returned Products.

The refund will be made by the same payment method used by the Client for the initial order, except in case of technical impossibility or agreement between the Client and DG Système.

6.3 Client Refund Outside the Exercise of Right of Withdrawal:

In cases other than the exercise of the right of withdrawal, DG Système reserves the right to determine the refund modalities, which may include a Product exchange, a credit refund, or a refund to the payment method used for the initial order. In these cases, initial shipping costs will not be refunded. The choice between these options will be made by DG Système according to the circumstances specific to each case.



7. Warranty and Liability

7.1 Warranty:

DG Système disclaims any warranty and responsibility for the following:

- Consumables and wear parts;

- Transport damage not reported within 24 hours of receipt of parts;

- Damage or aesthetic defects resulting from the use of parts;

- Defects or incompatibility of another part of the equipment with the one sold;

- Use of the part for a purpose other than that intended by the manufacturer;

- Unauthorized or unintended modification or adaptation of the part or any other equipment by the manufacturer;

- Abnormal use or non-compliance with equipment maintenance recommendations, or accidental damage.

Any peripheral parts included in the main equipment are provided free of charge and are not covered by the contractual warranty.

Products sold by DG Système must be used in accordance with their specifications by competent persons and under their sole responsibility. DG Système disclaims any responsibility for the consequences of incorrect or inappropriate use of the products sold.

Products suspected of being defective must be returned to the Company with its prior agreement. They will then be examined to demonstrate their non-compliance with manufacturing or material standards, ensuring that this non-compliance is in no way due to an accident, mishandling, negligence, modification, inappropriate use, repair or inadequate testing by the Client.

Regarding hidden defects:

The seller guarantees the absence of hidden defects in its goods. Hidden defects are characterized by significant defects that the client could not have detected at the time of delivery, resulting from a material defect or poor execution. Only defects that significantly reduce the usefulness of goods for normal use will be covered by this warranty.

This warranty is limited to hidden defects that have been notified to the Company in detail, by email or by any other probative means (in writing), within fourteen (14) days of their discovery, and at the latest within one (1) month from the delivery date.

In all cases, the Company's liability under this warranty is limited to replacement of defective goods. No return of goods may be made without the prior written agreement of the Company.

7.2 Liability:

DG Système strives to provide quality service to the Client. However, the Client acknowledges that DG Système is only bound by an obligation of means.

Client Responsibility:

- Product Selection and Use: The Client is solely responsible for the selection, choice, storage and use of Products. It is their responsibility to verify the compatibility of Products with their equipment before placing an order.

- Compliance with Technical Specifications: Given the technical nature of certain Products, the Client must strictly comply with technical specifications and manufacturer safety recommendations, particularly regarding storage, assembly and use of Products.

- Reference to User Manual: The Client must refer to the user and/or assembly manual if provided with the ordered Product.

Limits of DG Système's Liability:

- Internet Access Conditions: DG Système cannot be held responsible for poor Website performance due to Internet access conditions and their possible limitations or restrictions.

- Contractual Value of Photographs and Illustrations: Photographs and illustrations accompanying Products on the Website have no contractual value.

Exclusions of DG Système's Liability:

- Installation or Use of Products by the Client: DG Système cannot be held responsible for any damage resulting from the installation or use of Products by the Client.

- Client Errors or Omissions: DG Système's liability cannot be engaged in case of erroneous, incomplete or inaccurate information provided by the Client.

- Content of Linked Sites: DG Système is not responsible for the content of sites linked directly or indirectly to the Website and which are not under its control.

Liability Limitation:

- Amount of Damages: DG Système's liability in case of non-performance or poor performance of its contractual or extra-contractual obligations will be limited to the amount of damages and losses actually suffered and proven by the Client, without the total amount, all causes combined, being able to exceed the amount of the invoice for the purchase concerned. This limit also applies to consequences that could be attributed to DG Système in case of nullity or cancellation of the sale.

- Indirect Damages: DG Système will in no case be responsible for indirect damages suffered by the Client or a third party.

Force majeure: DG Système cannot be held responsible in case of delay or non-performance of its obligations due to force majeure, such as natural disasters, government acts or civil unrest. DG Système reserves the right, in case of force majeure, to suspend or cancel all or part of the sale. Force majeure is defined as any event likely to interrupt, reduce, delay or make economically less viable the sale of Products, or to hinder their normal execution. In such circumstances, the client cannot claim any compensation from DG Système.



8. Personal Data Protection

DG Système assumes responsibility for the collection and processing of your personal data. We implement measures to ensure the confidentiality, security and integrity of your data and we commit to ensuring that our service providers respect the same level of security as we do.

We expressly invite our clients to familiarize themselves with our privacy policy.

Respect for individual freedoms is a fundamental value for DG Système. We commit to never transmitting (selling, exchanging, renting, giving or lending) information about our clients to third parties, except with their express consent.

We process personal data in accordance with the General Data Protection Regulation (GDPR). You have the right to access, rectify and delete your personal data. If you do not accept our service offer, stored personal data will be destroyed after one year. In no case will your data be transmitted to an entity external to DG Système, except in case of court decision. You can exercise this right by contacting us at contact@dg-spare-parts.com.

9. Environmental Standards Compliance

10. Product Availability

The Products offered are those listed on the Website, within the limits of available stock at DG Système and its suppliers.

The Client acknowledges that Product availability, indicated by DG Système at the time of order placement and receipt of the order validation email, is given for information purposes only. Despite regular stock updates, a difference in availability may occur between the stock indicated on the Website at the time of order validation by the Client and the stock actually available at the time of order registration by DG Système. DG Système undertakes to confirm and/or inform the Client of the availability of the ordered Product(s) within a maximum of 48 hours (excluding weekends).

In case of stock shortage, DG Système will endeavor to find an equivalent Product with the same technical characteristics, same quality and same price, and may offer the Client a replacement Product.

In case of price difference between the ordered Product and the delivered Product, the following procedure will be followed:

- in the case where the value of the replacement Product is higher than the amount of the Product initially ordered by the Client, the difference between the amount of the ordered Product and the amount of the delivered Product will not be charged to the Client. DG Système will bear the difference and charge the Client the price of the ordered Product.

- in the case where the value of the replacement Product is lower than the amount of the Product initially ordered by the Client, the difference between the amount of the ordered Product and the amount of the delivered Product will be adjusted in favor of the Client.

The Client may refuse the replacement Product by following the return procedure provided for in article 6 of these T&Cs.

If no Product meeting the above criteria is found by DG Système, the Client will be informed directly in their Client area "My account" under the "My orders" section with a "Cancelled" message, as well as by email, as soon as possible. DG Système will then proceed with partial or total cancellation of the order.

DG Système reserves the right to modify its Product catalog available on the Website at any time.

11. CGV Modifications

At DG Système, we consider transparency and open communication to be essential elements of our relationship with our clients. We continuously strive to improve our practices to ensure that our clients are adequately and fairly informed of all material changes affecting their rights and obligations. DG Système reserves the right to modify its T&Cs at any time, particularly to evolve its services or to comply with any new applicable regulation. The applicable T&Cs will be those in effect on the date of the Client's order.

Modification Notification: Any modification to our T&Cs will be communicated to clients in a clear and transparent manner. Clients will be informed of modifications through various channels, such as our website, email notifications or any other appropriate means of communication.

T&Cs Accessibility: the T&Cs will always be available and easily accessible on our website. Clients will be able to consult the T&Cs at any time and learn about the latest updates.

Assistance and Clarification: Our team will be available to answer questions and provide clarifications on changes made to the T&Cs. We commit to providing complete assistance to clients to ensure they fully understand the terms and conditions.

12. Disputes and Applicable Law

These T&Cs are governed by French law. The T&Cs cancel and replace all previous versions, which are therefore no longer applicable. The T&Cs constitute the entire agreement between DG Système and the Client. If any provision of the T&Cs were to be null or inapplicable, this would not affect the validity of the other provisions.

For any complaint, the client is invited to contact our Customer Service:

- or by phone at +33 9 80 51 35 22 (Monday to Friday from 9:00 AM to 5:00 PM, except holidays), mentioning the order number.

In the absence of amicable settlement, any dispute will be brought before French courts.

No tolerance or delay by DG Système in the exercise of its rights can impair or restrict DG Système's rights, and no waiver of these rights and contractual breach can be considered as a waiver of other rights or subsequent contractual breach.

In case of difficulties encountered in the application of this contract, the buyer has the possibility, before any legal action, to seek an amicable solution. They can do so with the support of a professional association, a consumer association or any other counsel of their choice.

Let us recall that seeking an amicable solution does not affect either the duration of the legal warranty or the duration of the contractual warranty.

In the absence of amicable resolution, the Commercial Court of Draguignan will have sole jurisdiction to settle any dispute, regardless of the place of delivery and payment method used.



13. Intellectual Property Rights

The Client acknowledges that all content present on the Website, including the domain name, trademarks, texts, graphics, photographs, drawings, sounds, data, images, audios and videos, as well as DG Système's tree structure, its navigation plan, its logos, the design and organization of its sections, their titles, databases, their structures and their contents, whether they already exist or are added in the future, are protected and remain the exclusive property of DG Système.

Consequently, except with express and prior authorization from DG Système, any reproduction, representation or use of these elements by the Client is strictly prohibited. Any breach by the Client of these obligations would constitute an infringement of DG Système's intellectual property rights.

In the event that the Client has a personal website and wishes to place, for personal use, a simple link redirecting directly to the Website, they must necessarily request prior written authorization from DG Système. This authorization cannot be interpreted as an implicit affiliation agreement. In addition, any link must be removed upon simple request from DG Système.
